Draft — under legal review. Published for transparency during the pilot phase; not yet final.
AVIQUO (“the Platform”) is a business-to-business marketplace where holders of an Air Operator Certificate (“Operators”) and industry partners (“Industry Partners”) publish, find and negotiate wet lease / ACMI capacity. Positive Climb is the planned company behind AVIQUO and has not yet been incorporated. The founding team operates the service during the pilot.
The Platform is for businesses only. You must be an authorized representative of the organization you register, and you are responsible for the accuracy of the information and documents your organization submits and for activity under your organization’s accounts. Access requires our approval of your organization’s registration.
This section governs how everything else in these terms is read.
We provide the room, not the judgment. The Platform is a neutral venue for listing, search, structured offers, negotiation, messaging and document sharing. We are not a party to, broker of, or agent in any lease transaction, and we do not owe either side advice.
Documents on file — never validation. To be approved, an organization must place documents on file (e.g. AOC, Ops Specs, insurance evidence). Our review confirms only that the documents exist, are legible and appear to belong to the organization. We never represent that a certificate or permit is valid, current, covers a given operation, or will be accepted by any authority. Wording such as “Approved” or “Documents on file” in the Platform refers to access to the marketplace — nothing more.
Due diligence is yours. Assessment of any counterparty — including the validity and scope of its permits, insurance and attestations — is made solely between the parties. Regulatory approval of a wet lease (including approval by the lessee’s authority) is always the parties’ responsibility and always takes place outside the Platform.
Deals conclude off-platform. The Platform’s transaction flow ends at commercial agreement. Contract signature, authority approvals and operations happen between the parties. Deal stages shown in the Platform after agreement are self-reported by the parties; we do not verify any of them.
Third-party attestations. Badges such as IOSA and SARPcheck reflect attestations issued by third parties under their own rules. We display them as provided; they are not our statements.
You warrant that you have the right to upload and share every document you place on the Platform. Sharing a document with a counterparty is your organization’s decision and can be revoked; revocation stops new access but cannot recall copies already downloaded. Document states on the Platform are limited to shared / not shared. Expiry dates you provide are used for reminders to you and for our internal administration only — we take no action toward counterparties based on them.
Availability, aircraft data and prices are entered by the publishing organization, which is solely responsible for them. Offers use the Platform’s structured format, with required pricing and optional cost details to support comparison. Optional cost details may be left unspecified; missing values do not mean a zero price or an included cost. The content of an offer is entirely the offering organization’s. The Platform never computes or suggests a price. Any derived figure shown (such as an indicative total of rate × hours × months) is an arithmetic illustration of figures the parties themselves entered, and is not a quote, valuation or advice. Price indications you mark “on request” or restrict are shown only as described in the product; we do not otherwise disclose your pricing.
You agree to: keep organization and fleet data accurate; use counterparty information and shared documents only for evaluating and executing lease transactions initiated on the Platform; and not to scrape the Platform, misrepresent your identity or authority, or upload content you lack rights to. We may suspend or remove accounts, organizations or content that violate these terms or that we reasonably believe create risk for other members.
Pilot phase: fees are waived under founding-member agreements. A fee schedule per fleet-size tier will be published before charging begins.
We process personal data (user accounts, activity logs) as described in thePrivacy Policy. Organization documents are stored in private storage and shared only at your direction as described in §4.
The Platform is provided “as is” without warranties of any kind, including availability of the service, of any aircraft, or of any counterparty’s performance. To the maximum extent permitted by law, we are not liable for the outcome of any transaction, for the acts or omissions of any member, for regulatory decisions, or for indirect or consequential loss. Nothing here limits liability that cannot be limited by law.
You will indemnify us against third-party claims arising from your organization’s breach of these terms, its content, or its transactions.
You may stop using the Platform at any time; obligations relating to confidentiality, indemnity and liability survive. We may terminate or suspend access as described in §6.
We may amend these terms with notice in the Platform; continued use after the effective date is acceptance. Governing law and dispute resolution will be stated in the final version.
